TERMS AND CONDITIONS OF THE SITE "LEAD2TEAM".

1. GENERAL INFORMATION

The following terms and conditions (hereinafter, "Terms and Conditions") govern the use of our website and the purchase of the digital business card software licence, as well as the web assistant and review generator services offered through the site. By accessing our website and using our services, you agree to be bound by these terms and conditions.

From that moment, these Terms and Conditions constitute a binding agreement between You, whether personally or on behalf of an entity, and Lead2Team Technologies S.L. (hereinafter, "Lead2Team"), in relation to your access to and use of the website (hereinafter, "the Site") https://www.lead2team.com. 

By using and registering on the website, you declare that you are eighteen (18) years of age or older and that you have the capacity to read and understand these Terms and Conditions; you declare and warrant that you have read and understood them, as well as our Privacy Policy, and you agree to be bound by them.

2. SERVICES OFFERED. PURPOSE OF THE SITE.

Lead2team is a limited liability company dedicated to the provision of services consisting of the design, development, production, distribution and marketing of software applications. In particular, and through the site, the marketing of digital business cards, web assistant and review generator for businesses.

3. GENERAL CONDITIONS OF USE OF THE WEBSITE AND OF THE CONTENTS

Access to and use of the LEAD2TEAM Website, as well as access to and use of the Contents, shall be subject to these General Conditions. The use of any website owned by LEAD2TEAM or of the Contents confers the status of user and entails full and unreserved acceptance by the user of all the General Conditions in force at each moment the user accesses it. 

LEAD2TEAM reserves the right to modify these General Conditions at any time. We suggest that you review these General Conditions frequently in order to stay informed of their scope and of any modification that may have been made. By accessing the Websites and/or the Contents owned by LEAD2TEAM after the publication of the notice of such modifications, alterations or updates, you will be agreeing to comply with the new terms. The user is aware that access to and use of the Website and/or the Contents is carried out under his/her sole and exclusive responsibility.

4. RESPONSIBILITY OF USERS FOR THE USE OF THE SITE AND/OR THE CONTENTS.

The user may not, under any circumstances, modify or delete the identifying data of LEAD2TEAM. The user may only access the services and materials of the Website and/or the Contents through the means or procedures made available for this purpose on the Website itself and/or in the Contents, or those habitually used on the Internet for that purpose, provided that they do not involve the infringement of Intellectual/Industrial Property rights, or any type of damage to the Website and/or the Contents, or to its information or to the services offered. 

The user undertakes to use the services, information and materials of the Website and/or the Contents of LEAD2TEAM in accordance with the Law and with these General Conditions. 

Under no circumstances may the use of the Website and/or the Contents by the user contravene applicable legislation, morality, generally accepted standards of conduct and public order, and must at all times /or the Contents. 

The user may: 

• Access and browse the materials and services of the Website and/or the Contents free of charge, and without the need for prior authorisation, without prejudice to the requirement of prior registration and/or acceptance of Particular Conditions with respect to certain specific services and contents, as determined in these General Conditions or, where applicable, in the Particular Conditions of said services. 
• Use the services and materials of the Website and/or the Contents for exclusively personal use.

Under no circumstances may the user carry out the following activities: 

a) Disseminate content or propaganda of a racist, xenophobic, pornographic, obscene or denigrating nature or that incites or promotes the commission of criminal, violent, defamatory or degrading acts on grounds of age, sex, religion or beliefs; or that makes, promotes or incites, directly or indirectly, the glorification of terrorism or that is contrary to human rights and the fundamental rights and freedoms of third parties, to applicable legislation, morality, generally accepted standards of conduct and public order, or for harmful purposes that may damage, harm or in any way impede access to them, to the detriment of LEAD2TEAM or of third parties.

 b) Carry out acts contrary to the Intellectual and/or Industrial Property rights of their legitimate holders 

c) Cause damage to the computer systems of LEAD2TEAM, its suppliers or third parties and/or introduce or spread computer viruses, harmful code or software or any other type of systems that may cause damage or alterations to computer systems, or unauthorised alterations of the contents, programs or systems accessible through the materials or services of the Website and/or the Contents, or to the information systems, files and computer equipment of the users thereof, or unauthorised access to any materials and services of the Website and/or the Contents. 

d) Transmit advertising by any means and, in particular, through the sending of electronic messages, when the sending of the advertising has not been requested or authorised by the recipient. 

e) Use the Website and/or the Contents, in whole or in part, to promote, sell, contract, disseminate advertising or information of its own or of third parties without prior written authorisation from LEAD2TEAM, or include hyperlinks in its personal or commercial web pages to the Website and/or the Contents, except with the express authorisation of LEAD2TEAM. 

f) Use the services and materials offered through the Website and/or the Contents in a manner contrary to the General Conditions and/or the Particular Conditions that govern the use of a specific service and/or content, and to the detriment or impairment of the rights of the other users. 

g) Remove or modify in any way the protection or identification devices of LEAD2TEAM or of its legitimate holders that the Website and/or the Contents may contain, or the symbols, logos or trademarks that LEAD2TEAM or the legitimate third-party rights holders incorporate into their creations and that may be subject to intellectual or industrial property. 

h) Include, without prior written authorisation from LEAD2TEAM, on web pages and/or applications under the responsibility or ownership of the user or of unauthorised third parties, "metatags" corresponding to trademarks, logos, trade names or distinctive signs owned by LEAD2TEAM, or use trademarks, logos, trade names, or any other identifying sign subject to intellectual or industrial property rights, without the prior express written authorisation of its legitimate holder.

i) Include, on a website and/or applications under its responsibility or ownership, a hyperlink that generates a window or session of the browsing software used by a user of its website, in which trademarks, trade names or distinctive signs of its ownership are included and through which the Website and/or the Contents are displayed. 

The User shall be liable to LEAD2TEAM, or to third parties, for any damages of any kind that may be caused as a result of the breach or non-observance, directly or indirectly, of these General Conditions. LEAD2TEAM shall at all times ensure respect for the applicable legal system, and reserves the right to discretionarily deny, in whole or in part, at any time and without the need for prior notice, the access of any user to the Website and/or the Contents, when one or more of the circumstances described in this clause occur.

5. REGISTRATION AND USER ACCOUNT

In order to make the purchase, users must register and create a user account. When registering, the User must provide truthful and up-to-date information. The responsibility for maintaining the confidentiality of the password and the account lies exclusively with the user.

By using the Site, you declare and warrant that all the registration information you submit will be true, accurate, current and complete, that you will maintain the accuracy of such information and promptly update such information as necessary, that you have the necessary legal authority and capacity to enter into these terms and conditions, as well as to comply with them, that you are of legal age, that you will not access the site through automated or non-human means, whether through Bots, scripts or the like, and that you will not use the Site for any illegal or unauthorised purpose, and your use of the Site will not violate any applicable law or regulation.

Lead2Team reserves the right to remove, reclaim or change any identifier that the User selects if we determine, in our sole discretion, that such username is inappropriate, obscene or in any way violates these Terms and Conditions of use. Likewise, if false, inaccurate, out-of-date or incomplete information is provided, Lead2Team reserves the right to suspend or cancel your account and refuse any current or future use of the Site (or any part thereof).

6. FREE TRIAL AND PURCHASE PROCESS

The user is entitled to a free trial of the service upon registering on the platform for the first time. The trial period of seven (7) days begins from the date of registration. During this period, the user may use all the functionalities of the service at no cost.

If the user does not subscribe to any service, access to their account will be cancelled once the trial period ends. The user may subscribe to a paid plan at any time. Once the subscription has started, it will be automatically renewed and the fee corresponding to the selected plan will be charged. The user may not withdraw from it or request a refund of the amount paid, as a free trial period has already been granted beforehand. 

The purchase process consists of a subscription to the chosen product, once the trial period has elapsed, with the subscription starting at that time (each, a "service start date"), and it will be automatically renewed on the first day after the end of the subscription period (each, a "renewal start date") until it ends in accordance with these terms and conditions.

Hereby, and by subscribing to one of the chosen products, you consent to the chosen package being automatically renewed on a recurring basis according to the period established in the contracted plan. The charge will be made through the chosen payment method, accepting that your account will be subject to this automatic renewal function unless the subscription is cancelled before the renewal start date.

If you cancel the subscription before the renewal start date, you may continue to use it until the end of your current subscription period, and it will not be renewed once said period expires.

However, you will not be entitled to a pro-rata refund of any part of the subscription fee paid for the current subscription period.

At the time of renewal, if Lead2Team does not receive payment from your payment provider, you agree that Lead2Team may terminate or suspend your subscription, and continue attempting to charge your payment provider until payment is received.

We reserve the right to correct any error or mistake in prices, even if we have already requested or received payment, in the case of obvious and manifest errors that can be easily recognised by the average consumer as an error; these errors do not oblige Lead2Team to provide the product at said price, and may be modified or corrected by means of a communication to the customer.

7. PRICE AND PAYMENT

a.-) Price

The prices of the products and/or services offered on this website will be expressed in euros (€) and will be clearly displayed next to each product or service. These prices are shown without taking into account the applicable taxes, which will be detailed at the time of payment.

VAT will be the applicable tax in mainland Spain and the Balearic Islands, in accordance with current regulations.

b-) Payment

Payment for the products/services will be made through the payment methods accepted by the website, which may include credit or debit card and direct debit. The charge will be made in euros, payable at the time of subscription to the plan or add-on. 

The charge must be authorised by the customer at the time of the transaction.

Payments are processed through a certified third party in accordance with the requirements of PCI Level 1. Therefore, Lead2Team does not have access to the payment information, nor does it subsequently store such information.

You are responsible for keeping your payment information up to date, ensuring its accuracy and that it is current. In the event that a payment is not processed because you do not comply with the obligations established in this section, your access to or use of the services may be suspended or terminated. Therefore, you warrant and declare that you will only submit payment information that is valid and that you are authorised to use.

In the event that an error is detected in the price of the products or services, the company will contact the customer to inform them of the error and of the correct price, offering the option to confirm the purchase at the correct price or cancel the order with a full refund of the amount paid.     

c.- Invoicing and refunds.

The services are invoiced in advance, on a monthly or annual basis, depending on the period contracted. You expressly authorise us to issue electronic invoices for the services.

Once payment has been made, the customer will receive a confirmation of the purchase through the email address confirmed when creating the user account, detailing the products or services purchased, the final price paid (including the breakdown of the applied tax) and the date of the transaction.

The fees are non-refundable. We will not refund any amount or grant any credit for contracts that are cancelled before reaching their end date (including any add-ons that you may have purchased at the time). 

Lead2Team reserves the right to partially or totally cease its activity at any time for operational, legal or economic reasons or due to force majeure. In the event of definitive interruption of the service, Lead2Team will not be responsible for refunds or financial compensation for the plans purchased, regardless of their duration.

8. INTELLECTUAL PROPERTY

The contents of the products, including, without limitation, texts, graphics and logos, service marks, are protected by intellectual property rights and are the property of Lead2Team or, where applicable, of its licensors. No licence or right of use is granted beyond that strictly necessary for the use of the services, and we reserve all rights not expressly granted to you over the site, the content and the trademarks.

Except as expressly provided in these Terms and Conditions, no part of the site nor any content or trademark may be used, copied, reproduced, aggregated, republished, uploaded, posted, publicly displayed, encoded, translated, transmitted, distributed, sold, licensed or otherwise exploited for commercial purposes without the prior express written authorisation of Lead2Team. 

If you infringe any of the above restrictions, your right to use the Site will cease immediately and you must, at our choice, return or destroy any copies of the materials that you have made.

9. LIMITATION OF LIABILITY.

LEAD2TEAM is exempt from any type of liability for damages of any kind and nature in the following cases: 

a) For the impossibility of, or difficulties with, the connection used to access the Website and/or the Contents, service interruptions, delays, errors or malfunction thereof, regardless of the type of connection or technical means used by the user. 

b) For the interruption, suspension or cancellation of access to the Website and/or the Contents, as well as for the availability and continuity of the operation of the Website and/or the Contents or of the services and/or elements thereof, when this is due to the interruption of the service for technical maintenance of the Website and/or the Contents, or to a cause beyond the control of LEAD2TEAM, or to the services of the information service providers. 

c) For malicious or negligent actions of the user, or that originate from causes of force majeure and any others beyond the control of LEAD2TEAM. 

d) For attacks by so-called "hackers" or third parties specialised in the security or integrity of the computer system, provided that LEAD2TEAM has adopted all the existing security measures according to its technical possibilities. 

e) For the damages that may be caused by the information, contents, products and services provided, communicated, hosted, transmitted, exhibited or offered by third parties unrelated to LEAD2TEAM, including information society service providers, through a website that can be accessed by means of a link on this site. 

f) For any damage to the user's software or hardware arising from access to the Website and/or the Contents of LEAD2TEAM or from the use of the information or elements or applications contained therein. 

g) For the suitability, reliability, availability, timeliness or accuracy of the information or services contained on its Website and/or in the Contents, nor for the direct or indirect damages in connection with the use of the information or elements contained therein. 

The user of the Website and/or the Contents shall be personally liable for damages of any nature caused to LEAD2TEAM directly or indirectly, for the breach of any of the obligations arising from these General Conditions or, where applicable, from the Particular Conditions. 

In any case, whatever the cause, LEAD2TEAM shall not assume any liability, whether for direct or indirect damages, consequential damage or loss of profit. 

The user shall be solely responsible for the infringements that he/she may incur or for the damages that he/she may cause through the use of the Website and/or the Contents of LEAD2TEAM, the latter being exonerated from any liability. The user is solely responsible for any claim or legal action, judicial or extrajudicial, initiated by third parties against LEAD2TEAM or against the user based on the user's use of the service, or for the information that he/she may have sent to LEAD2TEAM by any means. The user assumes all expenses, costs and indemnities incurred by LEAD2TEAM as a result of such claims or legal actions.

10. SITE MANAGEMENT AND INTERRUPTIONS.

The management and administration of the website shall be the responsibility of Lead2Team, with registered office at C/ Llacuna 162-164, 08018, Barcelona (Barcelona) and Tax ID (CIF) B72909146. Lead2Team shall be responsible for the technical operability, maintenance and updating of the site, ensuring its correct operation and the security of the information.

Lead2Team reserves the exclusive right to add, modify or remove any content of the Site at any time and without prior notice. This includes, but is not limited to, texts, graphics, images, videos and other multimedia materials.

Access to and use of the Site by users must comply with the terms and conditions established by Lead2Team, as well as with applicable legislation. Lead2Team may, at its discretion, suspend or cancel the access of any user who fails to comply with these rules.

Lead2Team shall implement the appropriate security measures to protect the Site and the information contained therein against unauthorised access, alterations, destruction or any form of misuse. However, Lead2Team cannot guarantee absolute security due to the nature of the Internet.

Lead2Team will carry out updates and maintenance of the site to improve its functionality and security. These activities may require the site to be temporarily out of service, which need not necessarily be communicated.

For this reason, we cannot guarantee that the Site and the products will be available at all times. In this regard, Lead2Team reserves the right to change, revise, update, suspend, interrupt or modify the Site or the products at any time or for any reason without prior notice. You agree that Lead2Team has no liability for any loss, damage or inconvenience caused by your inability to access or use the Site during any downtime or interruption of the Site or the Products.

Nothing in these terms and conditions can be interpreted as a maintenance obligation, but rather as a right reserved to Lead2Team.

11. INTELLECTUAL PROPERTY INFRINGEMENTS

Lead2Team reserves the right to exercise all the civil and criminal actions that correspond to it in the event of the violation or infringement of intellectual or industrial property rights, including compensation for damages.

If any user or a third party considers that any of the contents of the Site constitutes a violation of intellectual property protection rights, they must immediately notify Lead2Team, through the contact details available on the Site, providing the relevant information.

This clause is designed to protect the intellectual property rights of Lead2Team and to ensure the appropriate and legal use of the contents of the Site.

12. MODIFICATIONS TO THE TERMS AND CONDITIONS

We reserve the right to change, modify or remove the content of the Site at any time or for any reason, at our sole discretion and without prior notice. Likewise, we reserve the right to modify or discontinue all or part of the Site or the products without prior notice at any time. We will not be liable to you or to any third party for any modification, price change, suspension or interruption of the site.

13. APPLICABLE LEGISLATION AND JURISDICTION

These terms and conditions shall be governed by and interpreted in accordance with the laws of Spain. Any dispute related to them shall be submitted to the competent Courts and Tribunals of Barcelona.
